By Accepting:

1. I acknowledge that I have chosen to participate in the upcoming Soltis Annual Client Summit (the “Conference”), that travel to and from the Conference may be dangerous, and that Soltis Investment Advisors, LLC. (the “Company”) cannot guarantee my safety. I further acknowledge that I may choose to participate in various activities at the Conference, including, without limitation, hiking, walking, climbing stairs, golfing, biking, humvee riding, pickleball, yoga, navigating desert terrain, and eating, which activities may be dangerous, and that the Company cannot guarantee my safety.

2. I acknowledge that participating in the Conference and the activities at the Conference are voluntary, and that any failure to participate in the Conference will have no negative impact on my relationship with the Company.

3. In consideration of the Company allowing me to participate in the Conference, I, on behalf of myself and my family, my children and my heirs, executors, administrators, agents, representatives and insurers, assume all risks associated with my participation in the Conference and I agree not to sue the Company and to hold harmless and discharge the Company and each of its officers, directors, employees, agents, volunteers and representatives (the “Released Parties”) from any and all claims, demands, causes of action, liabilities, losses, damages, costs and expenses of any nature, including, without limitation, reasonable attorneys’ fees, arising out of or related in any to my participation in the Conference, including, without limitation, any and all claims for personal injury of any kind, death, accident or property damage or loss. I further agree, on behalf of myself and my heirs, executors, administrators, agents, representatives and insurers, to indemnify and hold harmless the Released Parties from and against any and all claims, demands, causes of action, liabilities, losses, damages, costs and expenses of any nature (including, without limitation, reasonable attorneys’ fees) arising out of any complaint, lawsuit or other legal proceeding which may be instituted against the Released Parties which arises out of or relates to my participation in the Conference.

4. I acknowledge and agree that the Released Parties assume no responsibility for any liability, damage or injury that may be caused by my acts or omissions related to or during my participation in the Conference or for any liability, damage or injury caused by the acts or omissions of any other participant in the Conference or any other person.

5. I agree to obey all applicable rules, regulations and laws and any rules issued by the Company in connection with the Conference.

6. I represent that I am physically capable of participating in the Conference and that I have no known health restrictions that might jeopardize my safety or health or the safety or health of others during the Conference.

7. I agree that if any provision of this Waiver and Indemnification Agreement is determined to be unenforceable by a court of competent jurisdiction, the remaining provisions of this Waiver and Indemnification Agreement will remain intact and enforceable to the fullest extent permitted by law.

8. I agree that any suit filed in reference to the Conference or to interpret this Waiver and Indemnification Agreement will be filed in Washington County, Utah and be governed by Utah Law. This agreement shall continue in effect after the Conference has concluded.

9. I agree that this Waiver and Indemnification Agreement is the only, sole, entire and complete agreement of the parties relating in any way to the subject matter of this Waiver and Indemnification Agreement. I agree that no statements, promises or representations have been made by any party to any other, or relied upon, and no consideration has been offered or promised other than as may be expressly provided herein. I agree that this Waiver and Indemnification Agreement supersedes any earlier written or oral understandings or agreements between me and the Company.

10. I agree that, should the Company or any of the other Released Parties be forced to defend a claim, suit or other legal action taken by me or on my behalf, I will pay the Company and any of the other Released Parties any costs and attorney’s fees that they may incur if they successfully defend such claim, suit or action.

11. A copy of this Waiver and Indemnification Agreement, signed by me, shall be treated as an original.

I give my permission for transportation to any medical facility or hospital and authorize any qualified medical provider to give me the medical care judged to be necessary.

I agree NOT to use illegal drugs or excessive alcohol during any part of the activity.

I hereby give consent to Soltis Investment Advisors (herein referred to as “Soltis”) to take and use images (photographs or videotape) or sounds recordings of me in any public media, including radio, television, internet or print, or in Soltis publications.

I of my own free will, for myself and my family, my children and my heirs, executors, administrators, agents, representatives and insurers, have read, understand and acknowledge the risks and liability for myself with respect to the Conference.
